Allain Andry’s corporate transactional and finance practice includes debt financing, equity investment transactions, joint ventures, mergers, acquisitions and related commercial transactions.
In his corporate finance practice, Allain has significant experience representing borrowers in credit facilities, including senior syndicated facilities, first lien and second lien secured facilities, leveraged acquisition financings and subordinated debt facilities. He also has handled the equity investment and equity incentive components of such transactions.
Allain regularly advises clients in acquisition and joint venture transactions. He has completed significant acquisitions and divestitures for clients in the over-the-counter health care and nutraceuticals, packaging, construction products and industrial products industries. Allain has extensive experience structuring and negotiating LLC and partnership agreements and related documents for commercial joint ventures, as well as joint ventures for real estate development.
As an extension of his corporate transactional work, Allain regularly advises clients in related corporate and commercial transactions, including corporate organization and structuring; shareholders’ agreements; and significant commercial contracts, such as manufacturing agreements, product development agreements, licensing agreements, distribution agreements and employment agreements for senior executives.
Counsel to joint venture provider of energy and efficiency services in negotiating and documenting a long-term contract for services at military bases.
Represents a group of high-net-worth investors in multiple debt and equity investments in multifamily and commercial real estate projects.
Advised initial acquisition and financing by private equity purchaser of heavy equipment sales and leasing company, with subsequent roll-up acquisitions and refinancings.
Borrower's counsel to international resources and industrial materials company in widely syndicated first lien and second lien credit facilities.
Represented private equity purchaser in acquisition and financing of food products manufacturer for retail and restaurant markets.
Counsel to a manufacturer of OTC health care and nutritional products in connection with the negotiation of multiple product development and supply agreements with major pharmaceutical companies.
Represents a shopping center developer in negotiating and documenting equity joint venture agreements and development agreements with institutional investors.
Advised non-bankruptcy liquidation and winding up of specialty packaging manufacturer with manufacturing facilities serving most of the eastern United States.
Represents major construction products manufacturer in multiple credit transactions, including senior syndicated facilities, senior secured note placements and receivables securitization facilities and the refinancing and amendment of those credit facilities.
