Luke Foster is a corporate attorney whose practice focuses on mezzanine finance, senior lending, fund formation and investment management, and general corporate law. His experience includes representing junior capital providers in secured and unsecured subordinated loans and related equity investments; representing senior lenders and borrowers in revolving and term loan credit facilities; and counseling private equity and other investment funds and managers with respect to their formation, capital raising and investment activities.
Luke regularly advises small business investment companies and business development companies in the negotiation and execution of their debt and equity portfolio investments, including acquisition financings, leveraged buyouts and recapitalizations. He also has extensive experience negotiating credit agreements and related documentation. Luke's work in the fund formation and investment management area includes structuring fund terms and offering documents, organizing management companies and general partners, and advising institutional investors in their fund investments. He advises corporations and limited liability companies in a variety of commercial and corporate matters, including organizational and governance matters, shareholder and operating agreements, and capital and debt structures.
Represented mezzanine lenders and agent in providing $27.5 million of senior subordinated term loans to finance a private equity firm’s $185 million acquisition of primary care clinics.
Represented SBIC fund in control acquisition and mezzanine financing of company supplying fasteners and inventory management systems and procedures.
Represented business development company in connection with purchase of a portion of $30.5 million of first out and last out term loans and preferred stock provided to finance $45 million acquisition by private equity firm.
Represented mezzanine lenders and agent in connection with a $40 million subordinated term loan provided to a private equity-owned oil and gas inspection service company to finance add-on acquisitions and related equity investment.
Represented SBIC fund and business development company in $21.75 million unitranche term loan in connection with acquisition of mobile and web-based advertising and marketing company.
Represented water and air filtration company in connection with its reorganization and refinancing of its $38 million senior credit facility and $14 million subordinated term loan facility.
Formed and represented lower middle-market private equity fund with capital commitments of $650 million.
Represented private equity firm in connection with spinout from its previous affiliation with a bank.
Represented lead agent and arranger in the $115 million dividend recapitalization of a direct seller of telecom and home services.
Represented lender and agent in the documentation and negotiation of $80 million revolving credit facility for tractor and equipment company.
