Overview

Carl Beattie solves complex transactional challenges in heavily regulated industries. He represents public and private companies, nonprofit entities, investment firms and individuals in mergers, acquisitions, joint ventures, investment transactions and strategic partnerships. Carl drafts and negotiates a wide range of sophisticated agreements, including enterprise-level service and management contracts and framework agreements for novel partnerships, where precision and strategic thinking are essential.

Carl's practice centers on health care transactions, where regulatory complexity demands creative problem-solving and deep industry knowledge. He navigates federal physician self-referral (Stark) law and Anti-Kickback Statute requirements while structuring and closing acquisition, affiliation, integration and platform creation deals for hospitals, physician groups, health insurers and investors. Carl has closed dozens of medical practice transactions in recent years and has deep expertise in corporate practice of medicine issues and MSO structuring that enables compliant growth in complex regulatory environments.

Carl also advises on the commercial and transactional aspects of energy, sustainability and construction projects, bringing practical industry insight from his prior experience as a project engineer and assistant project manager with Bovis (now Lendlease), a leading global construction management provider.

Health Care

  • Represents buyers and sellers in private equity-backed health care acquisitions and divestitures, including recent transactions in the fields of optometry, oral surgery, outpatient imaging and infusion therapy.
  • Represents the third largest nonprofit health system in the United States in hospital acquisition and affiliation transactions and novel partnerships, including co-development arrangements and establishment of the North American headquarters of a world-renowned surgical training and research organization.
  • Represents the world's largest integrated provider of products and services for individuals with chronic kidney disease in its acquisitions, divestitures and joint ventures involving ambulatory surgery centers and physician practices throughout the United States.
  • Represented a joint venture between a health insurance provider and a private equity sponsor in acquiring an MSO platform and related network of over 30 primary care physician practices.
  • Represented a nonprofit health system in structuring and documenting dozens of physician practice acquisitions and other integration transactions with provider groups.
  • Represented a North Carolina health insurance provider in its equity investments and joint venture interest in the nation's second largest independent urgent care company.

Corporate & Commercial

  • Prepares and negotiates a vast range of commercial and vendor agreements for an international products and services provider, including enterprise-level and national account agreements with vendors for human resources, IT and facilities services, covering over 2,000 locations.
  • Represented the investment arm of a state agency in its $532 million acquisition of a registered business development company.
  • Represented a publicly traded technology, aeronautics and defense contractor in its acquisitions of a private software development company and a private laser technology company.

Energy & Construction

  • Represents a publicly traded energy infrastructure solutions provider in its energy services and sustainability upgrade transactions with military housing communities, including long-term energy savings performance contracts, energy as a service (EaaS) agreements and related financing transactions.
  • Represented a private investment firm in its equity and tax credit transactions with developers of utility-scale solar energy projects.
  • Represented over 180 parties in a joint engagement successfully defending challenges by a state department of revenue to tax credit investment structures.
  • Advises an international health care provider in connection with its energy procurement contracts.
