Overview

Curtis Strubinger advises partnerships, corporations and individuals on the tax aspects of complex transactions. He focuses his practice on providing tax advice to private investment funds throughout their lifecycle, including fund formation, acquisitions and dispositions, financings, recapitalizations and management incentive equity. Curtis has significant experience working with founders and investors on Section 1202 qualified small business stock, stock options and other issues affecting startups. In addition to his core tax practice, Curtis assists entrepreneurs in forming joint ventures, and he maintains an active pro bono practice advising tax-exempt organizations.

Curtis received his law degree magna cum laude from Duke University School of Law, where he was a Mordecai Scholar. He received a bachelor's degree and a master's degree in accountancy summa cum laude from the University of Missouri.

  • Represents Kian Capital, a private investment fund, in numerous debt, equity and fund formation transactions.

  • Represents a variety of private investment fund clients in a variety of matters including senior debt, subordinated debt, loan workout, control equity and minority equity transactions.

  • Represents a variety of business owners on sale transactions to private investment firms, in transactions ranging from $4 million to $300 million.

  • Represents several entrepreneurs in the tax aspects of business formation, providing advice on choice of entity and complex partnership tax matters.

  • Represents startup clients on all aspects of Section 1202 planning, including restructurings, financings and succession planning.

  • Represents several publicly traded companies and hospital systems in various acquisitions and dispositions.

  • Represented Amwins Group Inc., a national wholesale insurance broker with significant private equity ownership, in several control acquisitions.

  • Represents borrowers in senior debt and subordinated debt credit facilities ranging from $1 million to $350 million.

  • Represents a variety of business owners to develop tax-efficient employee incentive structures, including phantom equity plans, carried interest arrangements and stock option plans.

  • Represented, on a pro bono basis, a tax-exempt entity in an appeal of an adverse property tax determination.

  • Represents many tax-exempt entities on all aspects of tax compliance, including applying for Section 501(c)(3) status, private foundation compliance and general corporate matters.

  • Provides pro bono representation to a local nonprofit joint venture building low-cost and no-cost housing for neighbors in Charlotte experiencing homelessness.
