Overview
Elisabeth Baldwin is a corporate attorney whose practice includes a range of transactional matters, including corporate finance, mergers and acquisitions, employee benefits and executive compensation, and general corporate law. Elisabeth represents lenders in financing transactions and privately held companies in corporate transactions. She also has experience counseling clients on a range of issues related to ERISA and 409A compliance.
Before law school, Elisabeth spent more than a decade in North Carolina and Texas schools as a classroom teacher, assistant director of development and instructional specialist.
Experience
- Advises clients on equity and incentive-based compensation and employee benefits matters, including in the transaction context.
- Represents clients in strategic and private equity M&A transactions across a range of industries.
- Represents borrowers and lenders in syndicated lending transactions of various sizes.
- Represents lenders in unitranche debt investments in support of sponsor-led acquisitions.
- Represented the lead agent and arranger of an $10 billion senior unsecured revolving credit facility for a public company borrower in the energy sector.
