Overview

MacKenzie Thurman is a corporate attorney whose practice focuses on a range of transactional matters, including mergers and acquisitions, spinoffs, private equity investments, securities filings and general corporate law. She represents publicly traded companies, privately held companies, and private equity funds and their portfolio companies in acquisitions, dispositions and other business transactions. MacKenzie has experience drafting and negotiating a variety of contractual arrangements, including purchase agreements, investment agreements, organizational and governance documents, and related documentation.

Prior to joining Robinson Bradshaw, MacKenzie was an attorney at Wachtell, Lipton, Rosen & Katz in New York City.

  • Represented a public company in its acquisition of a privately held risk management and regulatory software company.
  • Represented a private equity fund in its investment in a bank merger and related securities registrations.
  • Represented a privately held startup in the cloud regulatory software industry in its sale to a majority stockholder and its related equity rollover.
  • Represented an Irish company in the divestiture of its rare disease segment to an international pharmaceutical company.
  • Represented a public company in its acquisition of a private equity portfolio company in the liquid packaging and dispensing industry.
  • Represented a private equity fund in its joint investment in a public company in the revenue management industry.
  • Represented a public company in the tax-free spinoff of its uniforms business into an independent, publicly traded company.
