Overview
As head of Robinson Bradshaw’s Intellectual Property & Technology Practice Group, Rich Dunn represents emerging and established companies in protecting and commercializing intellectual property assets and advising on the technology and intellectual property aspects of licensing, merger and acquisition, financing and other strategic transactions. He manages all intellectual property and IT-related aspects of corporate, private equity and financing transactions. Rich also has extensive experience drafting and negotiating technology contracts, including: complex software and/or data licensing and subscriptions; patent and other intellectual property licensing; SaaS, IaaS, PaaS and cloud-based service arrangements; professional services and consulting arrangements, including development agreements; OEM, VAR and other strategic distribution arrangements; and support services and SLA agreements.
Rich also regularly counsels clients on data security and privacy laws within the United States and Europe. His experience includes assisting clients with the development of data privacy and security policies and procedures, and negotiating data privacy and security agreements.
As general corporate counsel to many clients, Rich also assists businesses in a variety of other commercial and corporate matters, including organizational and corporate governance issues, and the negotiation of procurement, manufacturing and distribution agreements and other commercial contracts.

Represented a large national bank in connection with the negotiation of a variety of enterprise-wide, cloud-based technology transactions, including its industry-leading, transformative initiative to move a portion of the bank's digital infrastructure to the public cloud.

Represented the third largest health care system in the country in the negotiation of numerous technology-related agreements, including IaaS arrangements, SaaS-based subscription agreements, software licensing and development agreements, consulting arrangements and other technology-based transactions.

Counseled a Fortune 500 networking infrastructure provider in connection with multiple information technology transactions, including negotiation of an agreement for IaaS deployment.

Represents a private software company that provides a SaaS-based technology platform that facilitates the capture and dissemination of medical records, including in connection with subscription agreements, reseller agreements, business partner agreements and other distribution-related agreements.

Represents a private company that provides a payment tokenization platform technology utilized to facilitate e-commerce transactions, including the negotiation of SaaS-based services agreements with various Fortune 500 companies.
