Vida Harvey's practice areas include mergers and acquisitions, joint ventures, health care, and general corporate and commercial law. She has experience representing public and private companies in sales, mergers and acquisitions, the formation of joint business ventures, and other corporate transactions.
Vida’s transactional experience includes large-scale equity and asset acquisitions, representing companies in strategic investments in new business lines, negotiating joint ventures, forming and organizing new business entities, and providing outside general corporate counsel services.
She has represented physicians, hospital systems, medical practices, senior living facilities and other health care providers in numerous corporate transactions and advises clients on health care-related regulatory issues, including Anti-Kickback, physician self-referral laws, corporate practice of medicine prohibitions, and deal structuring and anti-fee-splitting laws.
In addition, Vida has experience advising companies on federal contractor status and OFCCP regulations and compliance, and she has advised small and medium-sized companies on organizational issues and general corporate matters.
Advised private investment funds in connection with foreign and domestic investments in venture capital and private equity buyout funds and in connection with the sale of limited partnership interests on the secondary market.
Represents a national health care corporation in the negotiation and development of joint ventures with other hospitals and physician groups.
Advises companies on internal restructuring and organizational matters.
Represents public and private companies in strategic investments, acquisitions and joint ventures.
Represents and advises senior living provider on regulatory issues, including licensure and state certificate of need issues.
Drafts and reviews employment agreements for physicians, health care providers and hospital systems.
Structures "captive practice" and "friendly physician" transactions and related management services arrangements.
Advised and represented various companies and health care providers in response to OFCCP compliance review and audit requests.
