Robinson Bradshaw’s corporate and partnership tax practice is an integral part of the firm’s representation of business clients. We have broad experience in federal, state and international taxation, including the tax aspects of mergers and acquisitions, real estate ventures, LLCs and partnerships, financings, workouts, municipal bonds, and audits and tax litigation. We serve as tax counsel to individuals in a variety of businesses and professions and represent a large number of tax-exempt entities.

Experience

  • Represented individuals who changed their domiciles from North Carolina to Florida in their successful challenge to a North Carolina Department of Revenue determination they remained subject to tax in North Carolina on gain from the sale of their company. We represented the clients both at trial and before the North Carolina Court of Appeals.

  • Represented solar energy funds in numerous transactions involving North Carolina tax credits as one of the primary benefits of an investment in the funds.

  • Obtained several private letter rulings from the North Carolina Department of Revenue relating to North Carolina tax credits resulting from investments in renewable energy.

  • Advise large foundations on complicated tax rules applicable to private foundations and in the abatement of potential excise taxes.

  • Represented clients before IRS appeals officers that favorably resolved the issue of whether loans would be treated as true debt for tax purposes.

  • Advise private equity funds on many tax issues, including the handling of Section 704(c) issues on an aggregate basis and management fee waivers.

  • Represented numerous governmental and tax-exempt entities in successful resolution of IRS audits of tax-exempt bonds.

  • Obtained numerous determinations of exemption and other rulings from the IRS for tax-exempt entities.
