Overview

Aneesha Bruton is a transactional attorney who counsels clients on a broad range of technology transactions, data privacy and security, and complex commercial contracts matters. Her experience includes software, data, artificial intelligence, patent and trademark licensing; software- and platform-as-a-service agreements; e-commerce; joint intellectual property development and joint venture agreements; product and platform development and integration; commercialization; distribution and reseller agreements; professional service agreements; and supply-chain, warehousing and logistics agreements. Aneesha also assists clients in enterprise and optimization transactions, and she advises clients on the intellectual property aspects of merger, acquisition, asset sale and financing transactions.

Prior to joining Robinson Bradshaw, Aneesha was an attorney at King & Spalding LLP in Washington, D.C. 

Experience

Technology Transactions

  • Drafts licensing and development agreements for software, patents, trademarks, data, databases, artificial intelligence and machine learning, and other technology and intellectual property.

  • Prepares SaaS, IaaS and PaaS agreements; website and platform terms of service; and other e-commerce agreements.

  • Negotiates software- and intellectual property-related product and platform development, integration, distribution and commercialization agreements, including advising on the business strategy of related agreements.

  • Advises on various vendor service agreements for information security and IT infrastructure, cloud and data center hosting, managed services, other internal business process services and internal IT policies.

  • Advises companies on the intellectual property and technology aspects of merger, acquisition, asset sale and financing transactions, including evaluating intellectual property portfolios of companies and negotiating intellectual property terms and ancillary license and services agreements.

Sourcing & Outsourcing

  • Advises companies on outsourcing, insourcing, realignment and optimization transactions including traditional sourcing deals, strategic alliances, performance partnerships and preferred supplier arrangements.

  • Structured outsourcing procurement processes and negotiated agreements memorializing IT, cybersecurity, cloud-hosting services and other vendor outsourced services for several multinational corporations and projects for smart cities.

Complex Commercial Contracts

  • Negotiates various product and service commercialization agreements including reseller, value-added reseller, sales agent, co-branding, sponsorship and marketing agreements.

  • Drafts agreements for product development and supply chain including supply, manufacturing, engineering, OEM, research and development, joint venture, distribution, supply chain, logistics, warehousing, facilities management, manufacturing, shipping and transportation services agreements.

  • Advises on contractor and subcontractor agreements for public and private bids and projects for professional services, consultant, construction, management, installation and other services agreements.

Other Corporate Matters

  • Advises on data privacy and security compliance including compliance with local, state, federal, and U.K. and EU data privacy and protection laws and regulations. Counsel includes advice on compliant internal data privacy and processing programs and the negotiation and drafting of data processing agreements, data privacy notices and policies, and data privacy and security agreements for vendors, suppliers and customers.

  • Negotiates domestic and international buy-side and sell-side mergers, acquisitions, asset sales, spinoffs, securities offerings, SPAC transactions and other restructuring transactions.

  • Advises companies, private equity funds and venture capital investors on equity and debt financing rounds.

  • Counsels early-stage and growth companies as outside general counsel on general corporate matters including corporate governance, entity formation, restructuring, securities compliance and commercial contracts.
