Overview

Jason Wright serves as a co-chair of Robinson Bradshaw's Finance and Capital Markets Practice Group. Jason has extensive experience representing senior lenders and borrowers in complex investment-grade and leveraged financings. He has successfully negotiated domestic and cross-border financings within a variety of industries, including insurance, financial services, health care, utilities, retail and manufacturing.

Jason also has extensive experience negotiating investment, joint venture, and merger and acquisition transactions, particularly in the health care space. He has advised on dozens of joint ventures involving specialty practices and is experienced in addressing corporate practice of medicine issues through management services organizations and physician practice management structures.

Experience

Finance

  • Advised Wells Fargo Securities LLC and U.S. Bank N.A. as joint book runners and joint lead arrangers in connection with a $440 million bridge financing to support the acquisition by HNI Corp., a manufacturer of workplace furnishings and residential building products, of all of the equity interests of Kimball International, a commercial furnishings company. In addition, advised the clients as joint book runners and joint lead arrangers of a $280 million delayed draw term loan facility and $50 million revolving credit facility increase for HNI Corp. in support of the acquisition.

  • Advised Wells Fargo Securities LLC, as sole book runner and sole lead arranger, and Wells Fargo Bank N.A., as administrative agent, in connection with a $350 million underwritten term loan for Resolution Life Group Holdings Ltd. to fund its acquisition of the in-force individual life insurance business of Voya Financial Inc.

  • Advised the left-side joint lead arranger and administrative agent in connection with a $310 million underwritten delayed draw term loan for a Bermuda insurance and reinsurance company to acquire a U.S. life insurance and annuity company.

  • Advised Wells Fargo Securities LLC, as left-side joint lead arranger, and Wells Fargo Bank N.A., as administrative agent, in a $3 billion multicurrency revolving credit facility for Chubb Limited.

  • Advised U.S. Bank N.A. as left-side joint lead arranger and administrative agent in a $250 million term loan for Wilton Re U.S. Holdings Inc. to redeem senior notes issues by its affiliate, Wilton Re Finance LLC.

  • Advised the sole lead arranger and administrative agent of an $800 million 364-day term loan facility for Duke Energy Florida.

  • Advised the sole lead arranger and administrative agent of a $580 million revolving credit facility for a not-for-profit hospital system backstopped by a note issued under the hospital system’s master trust indenture.

  • Advised Wells Fargo Securities LLC, as sole lead arranger, and Wells Fargo Bank N.A., as administrative agent, in a $150 million senior secured revolving credit facility for a corrugated packaging company.

  • Advised Wells Fargo Bank N.A. on letter of credit facilities for various reinsurance companies.

Health Care

  • Represented a national health care corporation in its joint venture transactions with physician and hospital investors to operate dialysis clinics, vascular access centers, cardiac cath labs, ambulatory surgery centers and physician practice management companies throughout the United States.

  • Represented a national health care corporation in its acquisitions and divestitures of dialysis clinics, vascular access centers, cardiac cath labs and ambulatory surgery centers throughout the United States.

  • Represented the seller of an urgent care center business.

  • Represented a minority investor in a hospitalist business.

  • Represented a specialty medical practice in its formation of a physician practice management company.
