Overview
Leighton Whitehead is a corporate attorney with experience in a variety of transactional matters, particularly in the areas of private equity finance, direct lending transactions, and mergers and acquisitions. He routinely represents private equity firms, their portfolio companies, and other lenders and investors in structuring, documenting and administering senior and mezzanine credit facilities, asset and equity acquisitions and dispositions, and other equity financing investments.
Experience
- Represents lenders in unitranche debt and equity investment in support of a sponsor-led acquisition.
- Represents publicly traded business development companies and their SBIC funds and related private funds in senior and mezzanine debt investments.
- Represented a lender in connection with a $19 million unitranche credit facility in support of an initial sponsor-led acquisition of a plumbing, heating, air conditioning and drain systems service provider to residential customers, as well as subsequent acquisition financings.
- Represented a lender in connection with a $15 million unitranche credit facility in support of a sponsor-led minority equity investment in a U.S.-based importer and purveyor of authentic Italian culinary gourmet foods, full-service cafés and wine bars.
- Represented a lender in connection with an initial $14 million second lien credit facility in support of a sponsor-led acquisition of a distributor of plumbing, heating, cooling and electrical supplies to contractors and homeowners.
- Represented a private equity fund in connection with its $7 million mezzanine financing and $3 million equity investment in a sponsor-backed portfolio company that specializes in installation, repair and maintenance services of fencing systems for residential and commercial properties.
