Robinson Bradshaw has a highly active and experienced private credit practice, representing many private funds, small business investment companies, banks, business development companies and other lenders and investors, as well as portfolio companies and borrowers, across a full spectrum of private credit transactions. The lawyers in our private credit practice have extensive experience in this area, in addition to significant experience in handling private equity acquisitions and investments. As a result, we have developed an in-depth understanding of the issues motivating the various participants in private credit financings and are able to bring to our clients customized advice on each transaction. When advising our private credit clients, we focus on learning their distinctive investment styles, approaches and objectives and believe this partnering approach enables us to provide more valuable advice in furtherance of each client’s investment objectives.

Experience

  • Represented an SBIC’s structured equity investment (preferred stock and common stock warrants) in a diversified alternative energy and environmental services firm.

  • Represented an SBIC’s second lien term loan and preferred equity investment in support of an acquisition financing of a distributor of specialty low-voltage wire and cable products and cable assemblies for use in building automation applications.

  • Represented an SBIC’s subordinated term loan and convertible preferred stock investment in support of an acquisition financing of a franchise-based company that provides commercial cleaning services.

  • Represented an SBIC’s subordinated secured term loan and equity investment (LLC units) in support of an acquisition financing of a company developing, designing, manufacturing, marketing, selling, servicing and installing interior and exterior signs.

  • Represented an SBIC’s senior subordinated term loan and equity co-investment (common and preferred LLC units) in support of an acquisition financing of a leading provider/operator of laundry rooms primarily in colleges and universities.

  • Represented an SBIC’s senior subordinated term loan and equity co-investment (common LLC units) in support of an add-on acquisition financing of provider of outsourced janitorial services to the “big-box” (i.e., grocery, club stores, etc.) retail industry.

  • Represented an SBIC’s senior subordinated term loan in a manufacturer and marketer of custom-built, vinyl-framed replacement windows.

  • Represented a mezzanine investor’s senior subordinated debt and holding company notes investment and equity co-investment (common stock) in support of an acquisition financing of a franchisor of automotive service and repair businesses.

  • Represented a mezzanine investor’s secured unitranche debt investment and equity co-investment in support of an acquisition financing of a direct marketer of dental and surgical instruments and related consumable supplies.

  • Represented a mezzanine investor’s secured second lien debt and equity co-investment in support of an acquisition financing of a leading supplier of blank athletic uniforms.

  • Represented a mezzanine investor’s secured unitranche debt investment in a provider of payment recovery services to the health care industry.

  • Represented a mezzanine investor’s secured second lien debt and subordinated debt investment and equity co-investment in support of an acquisition financing of a provider of interactive classroom solutions.
