Overview

Matt Kusel’s practice focuses on the representation of private and publicly traded companies in a variety of securities transactions and SEC reporting and compliance matters. Matt also regularly advises boards of directors regarding corporate governance practices. His experience includes representing issuers and underwriters in registered and 144A/Reg S debt offerings, liability management transactions, corporate restructurings and acquisition financings.

Matt was previously an attorney at Milbank LLP in New York City.

Experience

  • Represented public companies, and their boards of directors and committees, in compliance and disclosure matters under SEC regulations, exchange rules and related requirements.

  • Represented large private companies in secured and unsecured notes issuances pursuant to Rule 144A and Regulation S under the Securities Act of 1933.

  • Represented a large private company in its liquidity program to provide employees with a regular opportunity to sell equity that otherwise lacks an active trading market.

  • Represented public and private companies and their boards in corporate governance matters, including revising and updating bylaws, governance guidelines and charters.

  • Represented a private company in a third-party tender offer for the company’s outstanding equity.

  • Represented companies in analyzing their obligations under the Corporate Transparency Act and the related rules issued by the Financial Crimes Enforcement Network (FinCEN).
