Overview

Adam advises early-stage companies and investors with a focus on the technology and defense sectors, including artificial intelligence, energy management, autonomous systems, space technologies, advanced materials and other dual-use innovations. He provides strategic guidance on venture financings, company formation, corporate governance, securities laws compliance and commercial matters, supporting emerging companies from inception through exit and helping venture capital investors deploy capital effectively while supporting their portfolio companies’ growth. His experience also includes mergers and acquisitions, spanning both buy-side and sell-side transactions, including acquisitions of emerging technologies and strategic exits for venture-backed startups. Adam supports investors and founders located across the country, including emerging tech ventures, SaaS software companies, angel investors, corporate venture arms and early-stage venture funds.

Adam joined the firm in 2012 from New York City where he practiced at Dechert LLP.

  • Represents the venture capital arm of a leading global aerospace, defense, security and advanced technology company, guiding its strategic investments in emerging and early-stage businesses.
  • Represented ndustrial.io Inc., a developer of energy analytics platforms, in each round of equity funding, including its $18.5 million in a Series B funding round co-led by ABB and GS Energy.
  • Represented Allstacks Inc., a developer of software engineering intelligence platforms, in each round of equity funding, including its $10M in Series A funding led by Quadri Ventures, Microsoft's Venture Fund and First Rays Venture Partners.
  • Represented de-EpidDT Consulting Inc., a data privacy consulting firm, in its acquisition by Datavant for an undisclosed sum.
  • Represented Dude Solutions (Brightly Software) in its acquisition of Paladin Data Systems Inc., a software solutions developer for government and quasi-governmental customers.
  • Represented Dude Solutions (Brightly Software) in its acquisition of Smartware Group Inc. a leading cloud-based Enterprise Asset Management (EAM)/Computerized Maintenance Management System (CMMS) developer.
  • Represented Dude Solutions (Brightly Software) in its acquisition of New Energy Technology Inc., a cloud-based energy data, sustainability tracking and smart building integration developer.
