Overview
Scott DeAngelis represents clients in a variety of transactional matters, focusing on leveraged finance and other debt financing transactions. He regularly represents business development companies (BDCs), small business investment companies (SBICs), private funds, and other lenders and borrowers in connection with structuring, negotiating, documenting and administering senior or unitranche (“first out, last out”) credit facilities, second lien and mezzanine debt investments, and equity investments.
Experience
- Represented the lead agent and arranger in connection with $43.8 million debt and equity investment in support of a sponsor-led acquisition of a pet snacks company.
- Represented a lender in connection with a $9.75 million debt and equity investment in support of a sponsor-led acquisition of a material testing services business.
- Represented a lender in connection with a $17 million split-collateral term loan facility in support of a sponsor-led refinancing of an industrial services business, together with related intercreditor agreement.
- Represented the agent and sole lender in connection with a $17.7 million debt and equity investment in support of a sponsor-led acquisition of a cloud-based asset management services company.
- Represented the lead agent and arranger in connection with a $32 million unitranche credit facility in support of a sponsor-led acquisition of a field service management software company.
- Represented a lender in connection with a $16 million second lien credit facility in support of a sponsor-led acquisition of a company specializing in the development and distribution of antibodies and related reagents.
- Represented the agent and sole lender in connection with a $12 million debt and equity investment in support of an independent-sponsor-led acquisition of a company providing interpersonal therapy services.
- Represented the lead agent and arranger in connection with an initial $89 million unitranche credit facility in support of a sponsor-led acquisition of a leading filtration manufacturing company and through subsequent acquisition financings related thereto.
- Represented a software-based ad serving company in connection with its $15 million revolving credit facility.
- Represented the lead agent and arranger in connection with a $47.3 million syndicated credit facility in support of the construction and development of a housing subdivision.
- Represented a lender in connection with the $40 million refinancing of an office building.
- Represents various closely held companies with respect to general corporate matters.
