• Represented a private equity investor in negotiating the commercial real estate elements of a $447.5 million secured credit facility for a series of acquisition and construction financing for multiple drug and alcohol rehabilitation and recovery centers located in several different states in the Northeast and Midwest.

• Represented a regional bank in negotiating a $24.3 million construction loan for a luxury apartment complex in Raleigh, North Carolina.

• Represented a national bank in negotiating $20 million tax-exempt revenue bonds to provide construction financing for a nonprofit charter school’s facilities.

• Represented a nonprofit comprehensive university in negotiations for a wide variety of credit facilities, including a $55.9 million tax-exempt revenue bond, a $15 million bridge loan for capital improvements, a $10 million working line of credit and several interest-rate swaps.

• Represented Habitat of Humanity of the Charlotte Region, on a pro bono basis, in negotiating the sale of mortgage loans and associated collateral to a regional bank.

• Represented a regional bank in negotiating multiple credit facilities for ground-up construction of a range of industrial and manufacturing facilities in North and South Carolina.

Commercial Real Estate

• Represented a nonprofit comprehensive university in the acquisition of a multistory apartment building, the renovation of the building for use as student housing and the disposition of the property for redevelopment.

• Represented a nonprofit corporation in negotiating a $1.5 million grant from the city of Charlotte for infrastructure work in a new mixed-income subdivision.

• Represented a national real estate development company specializing in charter school facilities in negotiating the acquisition and expansion of several charter school facilities in North Carolina, including negotiation of long-term lease agreements with nonprofit charter schools.

• Represents a nonprofit health care provider in negotiating the sale of its existing 6.27-acre facility for redevelopment.

• Represents a nonprofit health care provider in negotiating the acquisition and financing to fund the acquisition and renovation of an existing three-story office building on 3.6 acres in Charlotte, North Carolina.

• Represented an owner of charter school facilities in negotiating a construction contract, lease extension and right-of-way improvement agreements with local authorities for the expansion of a charter school in Moore County, North Carolina.

• Represented a nonprofit charter school in negotiating a license agreement with the North Carolina Railroad Company.

• Represents a nonprofit health care provider in negotiations with Mecklenburg County, North Carolina, for the grant of 10 acres of real property and building improvements, subject to use restrictions.

Public Finance

• Represented a nonprofit comprehensive university in negotiations for variable rate tax-exempt revenue bonds and related interest rate swaps for the construction of capital facilities.

• Served as bond counsel for the issuance of $25 million tax-exempt revenue bonds for the construction of student housing on the campus of a regional university.

• Represented national and regional banks as bank counsel and/or underwriter’s counsel in the negotiation of over 150 letter of credit backed or direct purchase taxable and tax-exempt financing for industrial development bonds, exempt facility bonds and 501(c)(3) bonds for educational facilities, recreational or similar facilities for nonprofit corporations in North Carolina, Virginia, South Carolina and Georgia.

• Represented nonprofit public charter schools in negotiations for variable rate tax-exempt revenue bonds for construction of capital facilities.
