Overview

John Fogg advises technology and emerging growth companies from inception to exit, focusing in the areas of venture capital, mergers and acquisitions, and general corporate law. He regularly represents entrepreneurs and investors in venture and private equity financings in the AI, cloud computing, digital media, networking, medical device and software industries. John has substantial mergers and acquisitions experience, having advised on over 200 transactions, including transactions involving Amazon, Arthrex, Cisco, GE Healthcare, Microsoft, Smith & Nephew, Sony Ericsson, TiVo and Zimmer Biomet, among others.

John counsels clients on day-to-day and critical strategic issues and has earned a reputation for providing creative solutions to complex legal and business issues. He represents technology companies nationally from Silicon Valley to Research Triangle Park.

Prior to joining the firm, John was the leader of the mergers and acquisitions group at Hutchison PLLC in Raleigh, North Carolina. He was previously a partner in the Silicon Valley office of the predecessor to DLA Piper.

Mergers & Acquisitions

  • Represented Biospatial, a healthcare analytics company, in its formation, in each round of equity funding from a syndicate of investors, including Alerion Ventures, Bull City Ventures, Cofounders Capital, Front Porch, IDEA Fund & VentureSouth, and ultimately its sale to Image Trend..
  • Represented each of Cloupia, Inlet Technologies, Pari Networks, Jahi Networks and Assemblage Inc., in their respective acquisitions by Cisco Systems Inc.
  • Represented Digitalsmiths, a video search and discovery platform company, in its Series B, Series C and bridge rounds of equity funding from a syndicate of investors including .406 Ventures, Aurora Ventures, Chrysalis Ventures, Cisco Systems and Technicolor, and in its acquisition by TiVo.
  • Represented Comfort Systems, a NYSE listed building and service provider for mechanical, electrical, modular, and plumbing building systems, in a number of its acquisitions.
  • Represented BAE Systems in the sale of its subsidiary, BAE Systems Imaging Solutions, to Hamamatsu Photonics.
  • Represented Roger.ai, an accounting automation software company, in its Series A financing led by QED Investors, with participation from 9Yards Capital, Silicon Valley Bank, Financial Venture Studio and BootstrapLabs and in its sale to Fleetcor Technologies.
  • Represented Userflow, a user onboarding software company, in its $60 million acquisition by Beamer.
  • Represented Venuelytics, a hospitality and entertainment guest experience platform company, in its formation, funding and sale to Sojern.
  • Represented Ziptronix, a next-generation semiconductor integration company, in its acquisition by Tessera Technologies.
  • Represented ExtraOrtho, an external fixation medical device company, in its acquisition by Zimmer Biomet.
  • Represented AMDT Holdings, an extremities-focused orthopedic medical device company, in its sale to Arthrex.

  • Represented Netsertive, an intelligent online marketing platform company, in its formation and in each round of equity funding from a syndicate of investors including Greycroft Partners, Harbert Venture Partners and RRE Ventures.
  • Represented Fabrix.ai, an agentic AIOps & observability company, in its formation and in each round of equity funding from a syndicate of investors, including Clear Ventures & Tri-Valley Ventures.
  • Represented FluidCloud, a portable cloud infrastructure company, in its formation and Series Seed financing led by Unusual Ventures.
  • Represented Akitra, a multi-framework security compliance monitoring and automation company, in its formation and in its Series Seed financing round with Augment Ventures and Bold Capital Partners.
  • Represented Inn-Flow, a hotel management and accounting software company, in connection with its $45 million Series A investment by Mainsail Partners.
  • Represented Repvue, a sales organization ratings platform company, in its formation and in each round of equity funding from a syndicate of investors, including Alerion Ventures, Knoll Ventures, S3 Ventures & TDF Ventures.
  • Represented Old Well Labs, a financial technology software company, in its formation and Series A financing with Nellore Capital.
  • Simplifyber, a bio-based materials company, formation Series Seed and Series A At One Ventures, Collateral Good Ventures, MIH Capital, One Small Planet Capital, Suzano Ventures and Techstars Ventures.
  • Represented each of Orlando Health, Research Triangle Institute and Rex Health Ventures in a number of their portfolio company equity investments.
