Overview

Kelly Loving has a diverse transactional practice that covers a broad range of commercial transactions with a focus on mergers and acquisitions. She has represented a variety of public and private companies and private equity investors in numerous industries, including manufacturing, telecommunications, health care and technology.

Kelly has extensive experience representing public and private companies and private equity funds in connection with structuring and negotiating purchases and sales of businesses in both auction and non-auction settings. She has also represented numerous parties in joint ventures and other business partnerships.

Serving as general corporate counsel to many business clients, Kelly has also been engaged to assist in a wide variety of business and commercial matters, including advising on board matters and corporate governance issues and negotiating shareholder agreements, operating agreements, employment arrangements and other significant commercial contracts.

Kelly serves on Robinson Bradshaw’s board of directors and as co-chair of the firm’s Corporate Department.

Experience

  • Serve as U.S. M&A counsel to Enpro Inc., a publicly traded industrial technology company focused on critical applications across multiple end-markets (NYSE: NPO). Recently represented Enpro in the purchase of all of the equity of Advanced Micro Instruments Inc., a leading provider of highly engineered, application-specific analyzers and sensing technologies for $210 million in cash.

  • Represented Aalberts U.S. Holding Corp., a subsidiary of Aalberts, N.V., a Dutch public company engaged in the development of industrial products and systems through its Building Technology and Industrial Technology segments, in multiple strategic acquisitions and divestitures in the United States.

  • Serve as M&A counsel to Alpine Intel, a portfolio company of New Mountain Capital, including on their recent acquisition of Investigative Holdings LLC and its subsidiaries from private equity owners.

  • Represented Kian Capital, a private investment fund, in multiple acquisitions, including the acquisition of Charles Products Inc., a leading provider of specialty-designed custom merchandise to prominent tourist attractions.

  • Advised BDV Solutions, a provider of employment-based immigration services to foreign nationals and employers and a portfolio company of Astara Capital Partners, in multiple add-on acquisitions.

  • Represented Advocate Aurora Enterprises Inc., a for-profit affiliate of Advocate Health Inc., in the sale of its MobileHelp business to Medical Guardian, a provider of health monitoring and emergency response solutions, and portfolio company of Water Street Healthcare Partners.

  • Serve as lead M&A counsel for Fullsteam Operations and its subsidiaries, a software and payments company that develops and creates payment technology, vertical software, industry-specific features and end-to-end business management systems.

  • Represented a private technology and software provider in complex licensing transactions with major media and entertainment content providers.
