Overview

Matt Lenora's practice focuses on a broad range of corporate and transactional areas, including startups, technology, venture capital, securities, private equity, and mergers and acquisitions. His practice spans the life cycle of a company from idea stage, continuing through the initial corporate formation, and expanding to include angel and venture capital equity and debt financings, corporate governance, commercial contracts, mergers and acquisitions, technology and intellectual property matters, securities laws compliance matters, employment and personnel matters, tax matters and general business consultation. Matt also represents individual investors, venture capital investors, angel funds and private equity investors in connection with their equity investments.

Prior to joining Robinson Bradshaw, Matt was an attorney at Smith Anderson in Raleigh, North Carolina.

Experience

  • Represented a data platform company in its $6 million Series A Preferred Stock financing with multiple venture capital firm investors.

  • Represented a biotechnology manufacturing company in its $3 million Series A Preferred Stock financing with multiple venture capital firms and corporate investors.

  • Represented a software-as-a-service platform technology company in its $3.5 million Series A Preferred Stock financing with a New York-based venture capital firm investor.

  • Represented a leading video game company in its purchase of $2 million worth of shares of Series D Preferred Stock of a cloud graphics company.

  • Represented two university-based angel investor groups in investments in multiple portfolio companies.

  • Represented a Luxembourgian private equity firm in its purchase of $2 million worth of shares of Series C Preferred Stock in a health care analytics company with an option to purchase up to an additional $3 million worth of shares of Series C Preferred Stock.

  • Advised a surgical simulation company on key business terms and drafted a master services and products agreement to be utilized with robotic surgery customers.

  • Represented the U.S. subsidiary of a Swedish shoe and apparel company in the purchase of the inventory of a Florida-based floorball equipment company and the purchase of the stock of a Canadian floorball equipment company.

  • Represented a global provider of clinical pharmacogenomics solutions in its $6 million sale of its assets to a publicly traded DNA-based cancer diagnostics company.
